SigmaRoc, a European lime and minerals group, has agreed to acquire Lithuanian dolomite producer AB Dolomitas for €110 million, with an additional €8 million allocated to certain non-core assets, strengthening its presence in the Baltic construction materials and industrial minerals markets. Announced on 7 September 2026, the acquisition is subject to regulatory approvals and is expected to complete in the fourth quarter of 2026.

Established in 1964, Dolomitas produces approximately 3.5 million tonnes of high-quality dolomite annually and holds around 25 years of reserves and resources, with the potential to extend this by a further 20 years through additional reserves. Its portfolio includes more than 40 product variations, including mineral fillers, serving infrastructure, construction, and industrial and environmental applications across the Baltic region.

Dolomite, a magnesium-rich carbonate mineral, is an important raw material for several industrial processes and is increasingly relevant to green steel production, where dolomitic lime is used in steelmaking to help protect furnace linings and manage impurities. For the financial year ended 31 December 2025, Dolomitas reported revenue of €70 million and EBITDA of €18 million, representing an EBITDA margin exceeding 25%.

The €110 million acquisition consideration comprises €90 million in cash and €20 million in SigmaRoc shares, while the additional €8 million will cover non-core assets, including industrial land near the port of Klaipėda that could support future aggregate logistics and processing activities.

Dolomitas will operate as an integrated business unit within SigmaRoc’s Baltic platform, complementing the group’s existing quarrying and distribution operations in Lithuania, Latvia, and Estonia. The transaction is expected to enhance earnings in 2027 and expand SigmaRoc’s product offering, geographic reach, and access to high-quality mineral reserves. The acquisition also positions the group to serve potential long-term demand growth associated with infrastructure investment, industrial manufacturing, and the transition towards lower-carbon steel production.
