Mapei Spain Integrates Tecnopol Sistemas Through a Merger by Absorption

Mapei Spain, SAU announces that its sole shareholder has approved the integration of Tecnopol Sistemas, SLU into the company through a merger by absorption.

The transaction, which has also been approved by the sole shareholder of Tecnopol Sistemas, SLU, will result in the transfer of the entire business, including all assets, liabilities, rights and contractual commitments, to Mapei Spain, SAU.

Following completion of the process, Tecnopol Sistemas, SLU will cease to exist as a separate legal entity without undergoing liquidation, with Mapei Spain, SAU succeeding to all of its legal and commercial interests.

The transaction received unanimous approval and has been carried out in accordance with the merger documentation jointly prepared by the management teams of both companies and signed on 30 June 2026.

The merger has been supported by the respective financial statements of Mapei Spain, SAU and Tecnopol Sistemas, SLU as at 31 December 2025, which were properly prepared, approved and independently reviewed where required. These statements formed the financial basis for the transaction.
