Jayant Agro-Organics to Acquire Additional Stake in Vithal Castor Polyols

Jayant Agro-Organics has announced the acquisition of additional equity and preference shares in Vithal Castor Polyols Private Limited (VCPL), strengthening its position in the bio-polyols segment. The company disclosed the development in a regulatory filing submitted to the stock exchanges on 11 May 2026.
Under the agreement, Jayant Agro-Organics will acquire 40% of VCPL’s total paid-up equity share capital and 80% of its total paid-up preference share capital from Mitsui Chemicals Inc. for a cash consideration of approximately ₹25.37 crore. The acquisition involves 1.44 crore equity shares and 2.88 crore preference shares currently held by Mitsui Chemicals.
The company stated that the transaction is intended to improve operational synergies, streamline ownership structures and strengthen its commitment to the bio-polyols business. Management also indicated that the move would help the company respond more effectively to evolving market conditions and enable more focused operations.
VCPL, incorporated in August 2013, is engaged in the manufacture of bio-polyols, a key raw material used in polyurethane applications. The company reported turnover of ₹44.30 crore in FY2024-25, compared with ₹53.83 crore in FY2023-24 and ₹53.71 crore in FY2022-23.
Jayant Agro-Organics already holds 50% of VCPL’s equity share capital, and the latest acquisition is expected to be completed upon fulfilment of conditions outlined in the share purchase agreement signed on 11 May 2026. The company clarified that the transaction does not qualify as a related-party transaction and no special rights or board control provisions are attached to the agreement.
