Holcim Completes Acquisition of Xella

Holcim has completed the acquisition of Xella, a leading supplier of walling solutions in Europe, strengthening its position in the region's growing construction market. Xella is projected to generate net sales of approximately EUR 1 billion in 2026, making it a strategically significant addition to Holcim's building solutions portfolio.


The acquisition expands Holcim's offering across both new construction and energy-efficient renovation markets through Xella's established brands, including Ytong and Hebel autoclaved aerated concrete (AAC) systems, Silka calcium silicate products, and Multipor mineral insulation.


Headquartered in Duisburg, Germany, Xella employs more than 4,000 people and operates across 22 European markets. The acquisition supports Holcim's NextGen Growth 2030 strategy by enhancing its capability to deliver integrated, sustainable walling systems and strengthening its presence in circular construction, energy-efficient refurbishment, modular building and digital construction solutions.

The transaction value represents a pro forma 2026 EBITDA multiple of 8.9x, or 6.9x after run-rate synergies of EUR 60 million realized in year three. It is expected to be earnings per share (EPS) and free cash flow accretive in year one and return on invested capital (ROIC) accretive in year three.
