Fundamental Brands, Inc., a consumer brand accelerator and holding company, announced today that it has reached a definitive agreement to purchase Great American Beauty (GAB) and its licensing subsidiary, Palm Beach Beauté. The acquisition adds an established fragrance business with sales of roughly $31 million in 2025 to Fundamental Brands' portfolio of companies.

GAB is the company's manufacturing and distribution arm, with Palm Beach Beauté serving as its wholly owned licensing subsidiary, holding the intellectual property and brand rights that fuel GAB's growing portfolio of products. Together, the two organisations oversee a diverse portfolio of licensed and proprietary fragrance names that are offered in large national retail chains such as Burlington, TJ Maxx, Marshalls, Ross, and Belk.

GAB's licensed brand portfolio includes well-known names including Mustang, Ellen Tracy, IZOD, and others, which consumers see every day on store shelves across the country. In addition to its licensed portfolio, Palm Beach Beauté owns and operates a variety of original brands and intellectual property, providing the combined organization with a broad and diverse revenue source that includes both licensed and owned IP.

Despite generating about $31 million in yearly sales by 2025, GAB has operated only through wholesale and in-store channels. Fundamental Brands plans to change that right away, establishing direct-to-consumer digital commerce and omnichannel marketing as a basic priority of the collaboration. Mustang and other brands with existing inventory are well-positioned to immediately launch online, as the product is already in-stock and ready for direct fulfilment.

Great American Beauty exemplifies the type of acquisition for which our plan was designed—a firm with genuine scale, real shelf presence, and an amazing operator at the helm that has simply lacked access to the digital infrastructure and marketing assistance required to realise its true potential. That changes the moment this transaction is completed." - Mark Hauman, Chief Executive Officer, Fundamental Brands Inc.

The acquisition also advances Fundamental Brands' domestic manufacturing strategy, with a portion of GAB's current offshore production shifting to a fragrance manufacturing facility in the United States. The transition is projected to reduce production lead times from six months to as little as six weeks, resulting in improved time to market, inventory management, and operational efficiency for the company's distributors, licensors, and brands.I've spent my whole life in the fragrance industry, and I believe that the merger of Fundamental Brands with Great American Beauty is the most exciting opportunity I've ever seen. Their experience in direct-to-consumer retail, access to finance markets, and the power of our brands and relationships will result in a firm that is exponentially larger than its component parts." ― Harold Ickovics, founder of Great American Beauty.

This acquisition reflects Fundamental Brands' roll-up model, which it has described to investors since its inception: identifying established consumer brands with proven revenue, an authentic retail presence, and untapped channel potential, and then providing the capital, operational infrastructure, and marketing support required to scale them even further. GAB's personnel will remain in their current responsibilities, with Fundamental Brands introducing shared services and cross-portfolio synergies.
